Foundation Bylaws

The bylaws of the John Muir High School Class of 1985 Foundation establish the framework for how the organization is governed, managed, and operated in fulfillment of its charitable mission. These bylaws define the responsibilities of the Board of Directors, officers, committees, and members while providing clear guidelines for decision making, accountability, transparency, and compliance with applicable nonprofit laws.

As the Foundation grows and expands its impact, the bylaws serve as a guiding document that promotes effective leadership, sound governance, fiscal responsibility, and ethical stewardship of charitable resources. They help ensure that all organizational activities remain aligned with the Foundation’s mission, vision, and commitment to serving students, alumni, and the broader community.

BYLAWS OF THE JMHS 85 FOUNDATION
Adopted as of July 15, 2024

ARTICLE I - NAME
The name of this corporation shall be JMHS 85 Foundation (the "Foundation"), a California
Nonprofit Public Benefit Corporation organized and operated exclusively for charitable and
educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code.

ARTICLE II - OFFICES
Section 1. Principal Executive Office
The principal executive office of the Foundation shall be located at such place as the Board of
Directors ("Board") may designate from time to time.
Section 2. Additional Offices
The Foundation may establish additional offices as determined necessary by the Board to carry out
the Foundation's mission and activities.

ARTICLE III - PURPOSE, MISSION, VISION, AND LEGACY
Section 1. Charitable Purpose
The Foundation is organized exclusively for charitable and educational purposes within the
meaning of Section 501(c)(3) of the Internal Revenue Code. The Foundation shall support
educational advancement, scholarship opportunities, leadership development, mentorship
programs, alumni engagement, and community investment initiatives that create opportunities for
current and future generations.
Section 2. Mission Statement
The mission of the JMHS 85 Foundation is to empower current and future generations through
scholarships, educational opportunities, mentorship, leadership development, alumni engagement,
and community investment while honoring the legacy of those whose experiences and contributions
have strengthened our communities.
Section 3. Vision Statement
The Foundation envisions a future where every deserving student has access to educational
resources, mentorship, financial assistance, and community support necessary to achieve their full
potential.
Section 4. Legacy Statement
The Foundation was established to transform the experiences, accomplishments, friendships, and
community spirit of the Class of 1985 into a lasting source of opportunity and inspiration for future
generations.
Section 5. Objectives
Scholarship Programs; Educational Advancement; Mentorship Programs; Alumni Engagement;
Community Investment; Fundraising Activities; Signature Reunion Event; Historical Preservation;
Community Partnerships; Other Charitable Activities.

ARTICLE IV - PARTICIPATION AND AFFILIATION
No statutory members. Participant classifications may include Alumni Participants, Founding
Participants, Community Supporters, Donor Partners, and Honorary Participants.

ARTICLE V - BOARD OF DIRECTORS
The Board shall consist of not fewer than three (3) nor more than five (5) directors. Directors serve three-year terms and govern the affairs of the Foundation.

ARTICLE VI - BOARD MEETINGS
Annual meetings, regular meetings, special meetings, quorum requirements, remote participation,
and action without meeting shall be conducted as described in the bylaws.

ARTICLE VII - OFFICERS
President, Vice President, Chief Financial Officer (Treasurer), and Secretary, plus additional
officers as approved by the Board.

ARTICLE VIII - COMMITTEES
Executive, Finance and Audit, Scholarship, Development and Fundraising, Alumni Engagement,
Governance and Nominating, Programs and Community Impact, and Reunion Planning
Committees.

ARTICLE IX - AUXILIARY PROGRAMS
The Foundation may establish chapters, advisory groups, task forces, programs, initiatives, and
partnerships.

ARTICLE X - FINANCIAL ADMINISTRATION
Fiscal year July 1 through June 30. Annual budget approval and financial controls required.

ARTICLE XI - INDEMNIFICATION
The Foundation shall indemnify directors, officers, employees, and volunteers to the fullest extent
permitted by law.

ARTICLE XII - CONFLICT OF INTEREST
Disclosure and management of actual or potential conflicts of interest are required.

ARTICLE XIII - RECORDS AND TRANSPARENCY
The Foundation shall maintain accurate records and comply with applicable laws regarding
inspection and transparency.

ARTICLE XIV - DISSOLUTION
Assets shall be distributed to qualifying 501(c)(3) organizations consistent with the Foundation's
charitable purposes.

ARTICLE XV - AMENDMENTS
These bylaws may be amended by a two-thirds vote of the directors then in office.

CERTIFICATION
The undersigned certifies that these Bylaws were adopted by the Board of Directors of the JMHS
85 Foundation on July 15, 2024.

The John Muir High School Class of 1985 Foundation was established to unite alumni in support of educational opportunities for current and future students while preserving the proud legacy of John Muir High School.

Our programs focus on scholarships, mentorship, community engagement, and student success.

A California-based 501(c)(3) nonprofit was created for the sole purpose of providing scholarship assistance to students that are victims of the Eaton Fire.
